Agreement to Our Legal Terms

We are GROWTHGUARDIAN PRIVATE LIMITED, doing business as ScanOFe ("Company", "we", "us", "our"), a company registered in India at B-601 SURYA EMERALD, Ahmedabad, Gujarat 380058.

We operate the website https://scanofe.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you and GROWTHGUARDIAN PRIVATE LIMITED. By accessing the Services, you agree to be bound by all of these Legal Terms. If you do not agree, you must discontinue use immediately.

The Services are intended for users who are at least 18 years old.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

2. Intellectual Property Rights

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics ("Content"), as well as the trademarks, service marks, and logos contained therein ("Marks").

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access — solely for your personal, non-commercial use or internal business purpose.

3. User Representations

By using the Services, you represent and warrant that: (1) all registration information is true, accurate, current, and complete; (2) you will maintain its accuracy; (3) you have legal capacity to comply with these Legal Terms; (4) you are not a minor in your jurisdiction; (5) you will not access the Services through automated or non-human means; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use will not violate any applicable law.

4. User Registration

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password.

5. Subscriptions

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. The length of your billing cycle is monthly.

Free Trial

We offer a 90-day free trial to new users who register with the Services. The account will move to the Free Plan with limited access.

Cancellation

You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term.

Fee Changes

We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.

6. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user, you agree not to:

• Systematically retrieve data to create a competing collection or database without permission.
• Trick, defraud, or mislead us or other users.
• Circumvent, disable, or interfere with security-related features.
• Use any information obtained from the Services to harass, abuse, or harm another person.
• Use the Services in a manner inconsistent with applicable laws or regulations.
• Upload viruses, Trojan horses, or other malicious material.
• Engage in automated use of the system, including scripts, bots, or scrapers.
• Attempt to impersonate another user.
• Interfere with or disrupt the Services or connected networks.
• Decipher, decompile, disassemble, or reverse engineer any of the software.
• Use the Services to compete with us or for any revenue-generating endeavor not endorsed by us.
• Sell or otherwise transfer your profile.

7. User Generated Contributions

The Services do not currently offer users to submit or post content. If we provide such opportunities ("Contributions"), you represent and warrant that your Contributions do not infringe any third party's rights, are not false or misleading, are not obscene or harassing, and do not violate any applicable law.

8. Contribution License

You and the Services agree that we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy and your choices. We do not assert any ownership over your Contributions; you retain full ownership.

9. Services Management

We reserve the right to monitor the Services for violations, take appropriate legal action, refuse or restrict access, remove burdensome content, and otherwise manage the Services to protect our rights and property.

10. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by it. The Services are hosted in India; by continuing to use the Services from another region, you consent to your data being transferred to and processed in India.

11. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right, in our sole discretion and without notice, to deny access to the Services to any person for any reason, including breach of these Legal Terms.

12. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times and have no liability for any loss caused by downtime or discontinuance.

13. Governing Law

These Legal Terms shall be governed by and defined following the laws of India. The courts of India shall have exclusive jurisdiction to resolve any dispute arising in connection with these Legal Terms.

14. Dispute Resolution

Informal Negotiations

The Parties agree to first attempt to negotiate any Dispute informally for at least one hundred eighty (180) days before initiating arbitration.

Binding Arbitration

Any dispute shall be referred to and finally resolved by the International Commercial Arbitration Court under the European Arbitration Chamber. The seat of arbitration shall be Ahmedabad, India. The language shall be English. The governing law shall be substantive law of India.

Restrictions

Any arbitration shall be limited to the Dispute between the Parties individually. No arbitration shall be joined with any other proceeding, and no class-action procedures shall apply.

15. Corrections

There may be information on the Services that contains typographical errors or inaccuracies. We reserve the right to correct any errors and to update the information at any time, without prior notice.

16. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

17. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

18. Indemnification

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand made by any third party due to or arising out of: (1) use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties; (4) violation of the rights of a third party; or (5) any overt harmful act toward another user.

19. User Data

We will maintain certain data that you transmit to the Services for the purpose of managing performance. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit. We have no liability for any loss or corruption of such data.

20. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communication be in writing. You agree to the use of electronic signatures, contracts, and records.

21. Miscellaneous

These Legal Terms constitute the entire agreement between you and us. Our failure to exercise or enforce any right shall not operate as a waiver. If any provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us.
